Mattic B.V. License Statement and Limited Warranty
PLEASE READ CAREFULLY
This license statement and limited warranty constitutes a legal agreement ("License") between you (either as an individual or a single entity) and Mattic B.V. ("Mattic") for the software product identified above, including any software, media, and accompanying on-line or printed documentation ("Software") and applications created with the Software ("Work").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT.
TERMS AND CONDITIONS
This Software is owned by Mattic or its suppliers and is protected by copyright law, international copyright treaties, as well as other proprietary notices. The Software and any resources accompanying this License are licensed, not sold, to you by Mattic.
1. GRANT OF LICENSE.
a. You may install this Software on any computer you own.
b. You may make any number of copies of the Software for backup purposes.
c. You may distribute the Software as long as the installation or distribution package of the Software is not modified in any way.
Situation 1: You did not buy a license for this Software from Mattic or a Mattic authorized reseller. The Software will be installed for personal use or for educational purposes.
a. You may use this Software only for personal use or educational purposes.
b. You may not use this Software to facilitate any commercial process.
c. You may not distribute any Work created with the Software.
d. If you have developed a Work you wish to distribute as freeware you may contact Mattic for a customized license.
Situation 2: You did not buy a license for this Software from Mattic or a Mattic authorized reseller. The Software will be used to run a Work created with the Software.
a. You may use this Software to run and use the Work.
b. You may not use the development environment of Cathedron to make any changes to the Work.
c. The individual or entity who has developed the Work should have purchased a license from Mattic or a Mattic authorized reseller. With this license the developer can change your 'unregistered personal or educational version' into a 'registered run time version'.
Situation 3: You did buy a license for this Software from Mattic or a Mattic authorized reseller.
a. Regardless of the number of copies or installations you have made you may only use each license for a single designated developer ("Named User").
b. If you have purchased additional licenses from Mattic or a Mattic authorized reseller, you may install and use the number of copies of the Software up to the number of users, CPU's, servers and/or at the sites granted to you in writing by Mattic ("Licensed Copies").
2. LICENSE RESTRICTIONS.
a. Except as permitted by applicable law and this License, you may not decompile, reverse engineer, disassemble, modify, rent, lease, loan, distribute or create derivative works from the Software.
b. If you have purchased an update or upgrade version of the Software, it constitutes a single product with the Software that you upgraded. You may use or transfer the upgrade version of the Software together with the original only in accordance with this License.
3. ADDITIONAL LICENSE TERMS
The portion of the Software identified as Mattic Communication Engine ("MCE") is licensed for development purposes only. To deploy a particular Work created with the Software that requires the MCE, you must first obtain an appropriate run-time or deployment license (available separately) from Mattic or a Mattic authorized reseller.
4. LIMITED WARRANTY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MATTIC AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. MATTIC DOES NOT WARRANT THAT THE MATTIC SOFTWARE WILL BE ERROR FREE OR WILL OPERATE WITHOUT INTERRUPTION. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE MATTIC SOFTWARE AND ACCOMPANYING WRITTEN MATERIALS REMAINS WITH YOU.
5. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATTIC OR ITS LICENSORS OR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS OR BUSINESS INTERRUPTION, GOODWILL, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) WHETHER BASED ON PRINCIPLES OF CONTRACT, TORT (INCLUDING NEGLIGENCE), DUTY, INDEMNITY, CONTRIBUTION OR OTHERWISE, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF MATTIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, MATTIC'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS LICENSE AGREEMENT SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT.
6. EXPORT CONTROLS
You may not use, download or otherwise export or re-export the Software or any underlying information or technology except in full compliance with the law of The Netherlands.
7. TERMINATION
Your license to use the Software shall become effective on the date you agree to the terms and conditions of this License. Your license to use the Software shall terminate automatically if you fail to comply with the limitations described in this License. No notice shall be required from Mattic to effectuate such termination. Upon expiration or termination of this License for any reason, you shall make no further use of the Software and shall destroy all copies of the Software and all of its component parts on all systems, in all forms, in all types of media and computer memory, and whether or not modified or combined with other materials.
8. GENERAL PROVISIONS
a. This License shall be governed by the laws of The Netherlands.
b. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect.
c. This License gives you specific legal rights; you may have others which vary from country to country and from state to state. Mattic reserves all rights not specifically granted in this License.
d. Subject to the further terms and conditions of this License, the term of this License is perpetual.
e. The provisions of this License that by their nature and content are intended to survive the performance hereof shall so survive the completion and termination of this License.
f. You may transfer the Software and documentation on a permanent basis provided you retain no copies and the recipient agrees to the terms of this License.
